This End User License Agreement (the “Agreement”) governs use of the IP DEV LLC Accounting Integration (the “Software”), a private internal application developed and operated by IP DEV LLC (“IP DEV”, “we”, “us”). By installing, configuring, or using the Software you agree to these terms.
The Software is a private, single-tenant integration built solely for IP DEV’s own internal accounting, bookkeeping, and tax-preparation work. It is not offered, sold, licensed, or made available to the public, to customers, or to any third party. It has no end users other than IP DEV and its authorized personnel.
IP DEV grants its authorized personnel a non-exclusive, non-transferable, revocable license to use the Software strictly for IP DEV’s internal business purposes. No rights are granted to any other person or entity.
The Software connects to IP DEV’s own QuickBooks Online company using
Intuit’s OAuth 2.0 authorization flow, under the
com.intuit.quickbooks.accounting scope. Access is read-only:
the Software issues retrieval requests only and contains no functionality to create,
modify, or delete records in QuickBooks Online. Authorization is granted by IP DEV to
its own company data and may be revoked at any time from the Intuit account settings.
Handling of data retrieved through the Software is described in the Privacy Policy, which forms part of this Agreement.
The Software and all associated source code remain the exclusive property of IP DEV. This Agreement grants no ownership interest. QuickBooks and Intuit are trademarks of Intuit Inc.; IP DEV claims no affiliation with or endorsement by Intuit Inc.
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IP DEV does not warrant that the Software will be uninterrupted or error-free, nor that data it retrieves is complete or accurate for any particular purpose. The Software is a convenience tool and is not a substitute for professional accounting or tax advice.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IP DEV SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATING TO THE SOFTWARE.
This Agreement remains in effect while the Software is in use. IP DEV may terminate it at any time by discontinuing use and revoking the integration’s authorization from the Intuit account. Sections 6 through 8 survive termination.
This Agreement is governed by the laws of the State of Mississippi, without regard to its conflict-of-laws provisions.
IP DEV may update this Agreement. The effective date above reflects the most recent revision.
